David acts as Of Counsel to the firm’s Business Transactions Department, bringing 35 years of experience in providing legal services for complex financings and other significant business transactions.
During his career, David has represented and counseled many different businesses as well as institutional lenders, non-profit organizations, investment funds and governmental entities. His experience encompasses service as in-house counsel with the federal government and with a national real-estate developer and more than 20 years as a partner with a major Boston law firm. Throughout his career, he has focused his practice on the management and successful completion of a broad array of sophisticated financings and related transactions in connection with business acquisitions, major capital projects and the raising of investment or working capital, ranging in size up to several hundred million dollars. David also has significant expertise in real estate development and finance and in municipal law.
Provided lead representation in connection with:
- Syndicated/agented bank credit facilities and secured and unsecured loans for business and investment clients as borrowers and for various institutional lenders

Tax-exempt financings for development/expansion projects on behalf of hospitals, continuing care facilities, private schools and business entities
- Subordinated/mezzanine financings for investment funds, lenders and corporate borrowers in connection with business acquisitions or recapitalizations, including both private placements and publicly-issued note offerings

Securitization transactions, both public and private, involving mortgage-backed securities and health care receivables
Structured, negotiated and drafted all types of financing documentation, including credit and note agreements, commitment letters, guarantees, security/collateral documents, intercreditor and subordination agreements, letters of credit and credit enhancement agreements, and debt offering disclosure documents.
Negotiated and drafted complex vendor/supplier and other business contracts, stock and asset acquisition agreements, equity and investment agreements and similar arrangements for business and institutional clients, and counseled business and institutional clients concerning transaction restructurings and ongoing contract or regulatory matters.
Represented two Massachusetts municipalities for a total of over 20 years as primary counsel regarding municipal contracts, financial and legislative matters, affordable housing projects and zoning/land use regulation.

David is a long-time trustee and past president of the Human Relations Service, a community-based mental health agency located in Wellesley.
David has also been active in town affairs in Wellesley, serving as a past trustee and chair of the Wellesley Free Library board and as chair of a recent town government study committee.
