John D. Colucci
John is a partner in the Business Transactional Department, practicing in the areas of corporate law, tax law, estate planning and real estate. John's clients range from start-up companies to large multi-owner private and publicly traded corporations. A large portion of John's practice is devoted to counseling software development and service companies. He also has extensive experience in all areas of commercial transactions and business operations, in addition to his education and training as a Certified Public Accountant.

Representative Experience
Represented health care information company in acquisition of four different entities over the course of one year; counseling included assisting with negotiating and drafting the acquisition agreements and the formation of new entities.

Counseled publishing company in strategic merger with a larger publishing enterprise to create a new entity which expanded the business from a regional to a national level.

Represented emerging companies obtaining angel financing.

Drafted and negotiated various technology-driven agreements, including software licensing and maintenance agreements.

Represented private manufacturing company in sale of its assets, including its intellectual property, to a much larger regional competitor.
