Bill is a founding partner of MN&P, practicing corporate, business, labor and employment, and real estate law. His clients are primarily privately held companies with local, state, national, and international operations. Bill serves as outside general counsel to many of his clients, providing legal guidance on all business and corporate legal matters, including contractual arrangements, employee issues, corporate governance and proactive strategic planning. His expertise centers around acquiring and divesting in various target companies, negotiating and drafting intellectual property licensing agreements, and arranging and closing conventional bank, angel, and venture capital financing.
Bill is a guest speaker and sponsor of Capital Venue, which focuses on sourcing capital for companies at different stages of their development. He is a frequent lecturer for professional organizations, such as Massachusetts Continuing Legal Education and Lorman Education Services. Bill was named a 2006 Massachusetts Super Lawyer by Law & Politics magazine for his work in business and corporate law. He is vice chairman of the Smaller Business Association of New England (SBANE) and a member of the North Shore Chamber of Commerce, the Beverly Chamber of Commerce, and the Massachusetts and Essex County Bar Associations.
Negotiated and documented the creation of a joint venture between a regional accounting firm and a personnel
company to provide CEOs and CFOs to companies on an outsourced basis.
Completed multi-million dollar complex loan transactions with regional banks to provide financing for
multistate and multinational companies.
Obtained conventional bank and joint venture financing for the acquisition and financing of a leveraged
management buyout and negotiated the intercreditor agreement between the bank and the joint venture company.
Has acted as counsel to numerous foreign companies which have established Massachusetts subsidiaries and has
routinely counseled them on a variety of matters, including contractual relations and employment issues.
Handled acquisition of a foreign subsidiary for multinational client headquartered in Massachusetts.
Bill is a frequent lecturer for professional organizations such as Massachusetts Continuing Legal Education and Lorman
Education Services on topics such as effectively representing mature and emerging business, sourcing and negotiating
capital, planning acquisitions and exit strategies for closely held companies, and protecting and licensing a
company's intellectual property.
